1. Publisher and scope
These terms and conditions of sale and use (“Terms”) govern access to and use of the HopStore platform, published by HEURECA BELGIUM SRL, Rue Jean Locoge 16, 7011 Mons, Belgium, CBE 0778.451.229, VAT BE0778.451.229 (“HEURECA BELGIUM”). HopStore is intended for professionals and local businesses. Any order, registration or use of the service implies acceptance of these Terms.
2. The HopStore service
HopStore is a platform that notably enables users to create and administer an online store, centralize orders, offer click & collect or delivery, use mobile order-taking tools and, depending on the options activated, facilitate payment collection. Available features depend on the subscribed plan, the customer's configuration and the availability of any third-party services used.
3. Account creation
The customer guarantees that the information provided during registration is accurate, complete and up to date. The customer is responsible for the confidentiality of their login credentials and for activity carried out through their account. The customer must notify us without delay of any unauthorized use of which they become aware.
4. Plans, prices and orders
Plans, their features and prices are presented before any subscription. Unless otherwise stated at the time of ordering, prices are shown excluding VAT. The customer selects their plan before sales are activated. Any special condition, quotation or purchase order accepted by the customer prevails over these Terms in the event of a conflict.
5. Payment and invoicing
Payment terms, billing frequency and any applicable taxes are specified during subscription or in the applicable commercial document. In the event of non-payment, HEURECA BELGIUM may, after informing the customer and within the limits permitted by law, suspend access to the relevant features until the situation is regularized.
6. Term, renewal and termination
The subscription term, any renewal and termination arrangements are indicated at the time of subscription. The customer may request termination in accordance with the procedures communicated in their customer area or in writing to HEURECA BELGIUM. Termination does not cancel amounts already due or applicable legal retention obligations.
7. Data and customer responsibilities
The customer remains responsible for the data, products, prices, images, commercial terms, legal information and content they publish through HopStore. The customer must comply with the rules applicable to their business, customers, distance selling, VAT, consumer protection and data protection. The customer guarantees that they hold the necessary rights to the content made available online.
8. Availability and evolution
HEURECA BELGIUM uses reasonable efforts to ensure the availability and security of HopStore. The service may nevertheless be subject to necessary maintenance, updates, changes or interruptions. HEURECA BELGIUM may evolve the service in order to improve it, secure it or comply with legal obligations, while preserving the essential features of the subscribed plan as far as possible.
9. Third-party providers
Some features may depend on third-party services, including payment or communication services. Their own contractual terms may apply. HEURECA BELGIUM does not guarantee the continuous availability or commercial terms of these third-party providers.
10. Intellectual property
The platform, its code, structure, trademarks, interfaces and proprietary content remain the property of HEURECA BELGIUM or its licensors. The customer receives a personal, non-exclusive, non-transferable right, limited to the duration of their subscription, to use HopStore in accordance with its intended purpose.
11. Liability
To the extent permitted by law, HEURECA BELGIUM cannot be held liable for indirect damages, loss of revenue, loss of data attributable to the customer, consequences of incorrect information published by the customer or unavailability attributable to a third party. Nothing in these Terms limits liability that cannot legally be excluded or limited.
12. Data, applicable law and disputes
The processing of personal data carried out by HEURECA BELGIUM is described in the Privacy Policy. These Terms are governed by Belgian law. The parties will seek an amicable resolution of any dispute. Failing that, the competent courts are determined in accordance with the applicable legal rules.
13. Changes to the Terms
HEURECA BELGIUM may amend these Terms to reflect changes to the service, its organization or the law. In the event of a substantial change applicable to an ongoing subscription, the customer will be informed by an appropriate means before it takes effect, except in cases of immediate legal or security necessity.
